5. Intellectual Property Rights

The Services and all content, features, and functionality thereof (including but not limited to all information, software, text, displays, images, graphics, and the design, selection, and arrangement thereof) are owned by Certihomes, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services except as generally permitted through normal use of the Services.

6. User Content and Licenses

You retain ownership of any content, data, or information you submit to the Services ("User Content"). By submitting User Content, you grant Certihomes a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that you own or have the necessary rights to submit User Content and that your User Content does not violate these Terms or any applicable law.

7. Financial Data and Third-Party Services

Certihomes may allow you to connect third-party financial accounts through services such as Plaid. By linking your financial accounts, you authorize Certihomes and its third-party service providers to access, retrieve, and use your financial account information to provide the Services.

You acknowledge that the accuracy and completeness of the financial data displayed in the Services depends on the information provided by your financial institutions and third-party service providers. Certihomes is not responsible for errors, delays, or inaccuracies in data provided by third parties.

8. AI-Powered Features Disclaimer

Certihomes may offer features powered by artificial intelligence and machine learning technology. You acknowledge and agree that:

• AI-generated content, insights, and recommendations may not always be accurate, complete, or up-to-date.
• AI-powered features do not constitute professional financial, tax, legal, or investment advice.
• You should independently verify any AI-generated information before making financial decisions.
• You will not publicly share or attribute AI-generated content as professional advice.

9. Subscription and Payment Terms

Certain features of the Services require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your chosen subscription plan.
• Automatic renewal of your subscription at the end of each billing period unless you cancel prior to the renewal date.
• Provide accurate and complete payment information.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

10. Changes to the Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

11. Account Termination

You may terminate your account at any time by contacting us at support@certihomes.com. Upon termination:

• Your right to access and use the Services will immediately cease.
• We may delete your account data, including financial information, in accordance with our Privacy Policy.
• Any outstanding fees will remain due and payable.

We may also suspend or terminate your account if we reasonably believe you have violated these Terms or if required by law.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. CERTIHOMES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Certihomes does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The financial tools, calculators, and projections provided through the Services are for informational purposes only and do not constitute financial advice.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CERTIHOMES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Certihomes and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your User Content, or your violation of these Terms.

15. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. You and Certihomes agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action.

You may opt out of this arbitration agreement by sending written notice to legal@certihomes.com within 30 days of first accepting these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in San Francisco County, California.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Certihomes regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Export Compliance: You agree to comply with all applicable export and import laws and regulations.
